John Wayne Horton, Partner at Lowenstein Sandler

Today, my guest is John Wayne Horton, a Partner at Lowenstein Sandler who represents corporations, entrepreneurs, and venture capitalists on a full range of business and transactional matters, spanning the life cycle of businesses and portfolio investments. With a deep understanding of the needs of entrepreneurs and the venture community, John employs a practical problem-solving approach to legal and business issues.

His practice focuses on business structuring, investment transactions, corporate governance, securities law, and later-stage pathway to exit; and his experience captures a broad range of industry sectors, including technology, life sciences, entertainment, and consumer goods. John embraces the role of outside general counsel, partnering with executive teams to manage risk, oversee corporate governance, and capitalize on commercial opportunities.  He also counsels venture capital funds and strategic investors at each stage of portfolio company investment and through liquidity, helping them navigate complex commercial and strategic deals including venture capital financings, tender offers, and M&A transactions. John holds a JD from Santa Clara University and a BS/BA in Mathematics and Music from Stanford University.
